If you do not agree with any part of these terms, please discontinue your use of our website and services immediately.

You agree to use our website and services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. You agree not to:

Custom engineered solutions are subject to detailed specifications and requirements. Customers are responsible for providing complete and accurate specifications. Modular Solutions will work with customers to clarify specifications before manufacturing.

4. Ordering & Payment

Order Acceptance

Submission of an order does not guarantee acceptance. Modular Solutions reserves the right to accept or refuse any order. Orders are subject to verification of billing and shipping information. We will confirm order acceptance via email.

Pricing & Payment Terms

• All prices are subject to change without notice. Prices are valid only at the time of order confirmation
• Prices do not include applicable taxes, duties, or shipping costs unless otherwise stated
• Payment must be received before shipment unless alternative arrangements have been agreed upon in writing
• Accepted payment methods include credit cards, checks, wire transfers, and purchase orders (subject to credit approval)
• All payment information must be accurate. We reserve the right to decline orders with invalid or suspicious payment information

Custom Quotes & Lead Times

For custom engineered solutions, quotes are valid for 30 days from the quote date. Lead times vary based on product type and customization. Standard manufacturing lead times will be provided at order confirmation. Rush orders may be accommodated at additional cost.

5. Shipping & Delivery

Shipping Responsibility

Risk of loss or damage to products passes to the buyer upon delivery to the carrier, unless buyer-selected shipping methods are used. Modular Solutions is not responsible for damage or loss during transit. We recommend purchasing shipping insurance for high-value orders.

Delivery Terms

• Estimated delivery dates are provided for informational purposes only and are not guaranteed
• Delivery is FOB (Free On Board) from our facility unless otherwise agreed in writing
• Delays caused by carrier issues, weather, or other circumstances beyond our control are not our responsibility
• Buyer is responsible for coordinating delivery and providing access to delivery location

Damage Claims

Customers must inspect shipments upon receipt and report any damage or missing items within 48 hours. Claims for damaged shipments must include photographic evidence. Modular Solutions will file claims with the carrier on your behalf for applicable damages.

6. Warranties & Disclaimers

Limited Warranty

Modular Solutions warrants that products will be free from defects in material and workmanship for a period of one (1) year from the date of purchase, under normal use and regular maintenance. This warranty does not cover:

• Damage from improper installation, misuse, or negligence
• Normal wear and tear
• Modifications made by anyone other than Modular Solutions
• Damage from accidents, environmental conditions, or unauthorized repairs
• Custom engineered or non-stock items, unless otherwise specified

Warranty Claim Procedure

To file a warranty claim, contact customer service with proof of purchase and documentation of the defect. A Return Goods Authorization (RMA) number must be obtained before returning any product. Modular Solutions will evaluate the claim and determine appropriate remedy (repair or replacement).

Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, MODULAR SOLUTIONS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Some jurisdictions do not allow the exclusion of implied warranties, so this limitation may not apply to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULAR SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MODULAR SOLUTIONS' TOTAL LIABILITY EXCEED THE PURCHASE PRICE OF THE PRODUCT OR SERVICE IN QUESTION. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHER).

8. Indemnification

You agree to indemnify, defend, and hold harmless Modular Solutions, its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations
• Your misuse of products purchased from Modular Solutions
• Your use of the website or services in an unauthorized manner

9. Modification of Terms

Modular Solutions reserves the right to modify these Terms of Service at any time. Changes are effective immediately upon posting to the website. Continued use of the website following such changes constitutes your acceptance of the updated terms. We recommend reviewing these terms periodically.

11. Dispute Resolution & Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Oakland County, Michigan.

Before initiating legal proceedings, we encourage you to contact us to resolve any disputes informally. If informal resolution fails, you agree to binding arbitration in accordance with the Michigan Uniform Arbitration Act.

12. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
